Terms and Conditions Loteraise B.V.

Article 1. Definitions

In these terms and conditions, the following definitions apply:

  • Loteraise: Loteraise B.V., established in the Netherlands.

  • Organizer: the association, foundation, company, or other party that organizes a lottery, raffle, giveaway, or similar campaign via the Loteraise platform.

  • Participant: a natural person who participates in a lottery or giveaway.

  • Platform: the software, website, and services provided by Loteraise.

  • Agreement: any agreement between Loteraise and the Organizer.

Article 2. Applicability

  1. These terms and conditions apply to all offers, agreements, services, and deliveries by Loteraise.

  2. Deviations are only valid if agreed upon in writing.

  3. The general terms and conditions of the Organizer are explicitly excluded.

Article 3. Services of Loteraise

  1. Loteraise provides an online platform for organizing and facilitating lotteries, raffles, giveaways, and related campaigns.

  2. In principle, Loteraise acts solely as a technical and administrative facilitator and not as the legal organizer of a game of chance, unless otherwise agreed in writing.

  3. Loteraise can provide support with:

    • online ticket sales;

    • QR code systems;

    • payment processing;

    • draws;

    • game rules;

    • licensing processes;

    • communication and promotion.

Article 4. Responsibilities of the Organizer

  1. The Organizer remains responsible at all times for:

    • compliance with laws and regulations;

    • obtaining any necessary permits;

    • correct communication towards participants;

    • the delivery of prizes;

    • tax obligations;

    • the content of campaigns and promotions.

  2. The Organizer guarantees that all information provided is accurate and complete.

  3. The Organizer indemnifies Loteraise against third-party claims arising from the organized promotion.

Article 5. Use of the Platform

  1. It is not permitted to use the platform for:

    • illegal activities;

    • misleading campaigns;

    • fraud;

    • activities in violation of Dutch law.

  2. Loteraise may block or remove accounts or campaigns in the event of abuse or violation of these terms.

Article 6. Payments and Rates

  1. Setup fees, subscription fees, transaction fees, or revenue-dependent fees may apply for the use of the platform.

  2. All amounts are exclusive of VAT unless otherwise stated.

  3. Invoices must be paid within 14 days of the invoice date.

  4. In the event of late payment, Loteraise may:

    • charge statutory interest;

    • charge collection costs;

    • suspend services.

Article 7. Payouts

  1. Payouts are processed via the payment provider chosen by the Organizer or via a payment solution offered by Loteraise.

  2. Loteraise is not liable for delays or errors caused by payment providers or banks.

  3. Loteraise may temporarily block payouts in case of suspected fraud, violation of legislation, or requests from regulatory authorities.

Article 8. Intellectual Property

  1. All intellectual property rights regarding the platform, software, designs, texts, and systems remain the property of Loteraise.

  2. Materials from Loteraise may not be copied, modified, or distributed without written permission.

Article 9. Availability of the Platform

  1. Loteraise strives for the highest possible availability of the platform but does not guarantee uninterrupted operation.

  2. Maintenance, malfunctions, or external factors may temporarily affect availability.

Article 10. Liability

  1. The liability of Loteraise is limited to the amount paid out by its liability insurance in the relevant case.

  2. If no payout occurs, liability is limited to the amount the Organizer paid to Loteraise in the preceding 3 months.

  3. Loteraise is not liable for:

    • indirect damage;

    • consequential damage;

    • loss of revenue;

    • reputational damage;

    • missed earnings;

    • damage due to malfunctions of third parties.

  4. Nothing in these terms excludes liability for intent or deliberate recklessness.

Article 11. Privacy and Data Processing

  1. Loteraise processes personal data in accordance with its privacy statement.

  2. If Loteraise processes personal data on behalf of the Organizer, an additional data processing agreement may be concluded.

Article 12. Force Majeure

  1. Loteraise is not liable for delays or shortcomings resulting from force majeure.

  2. Force majeure includes, among other things:

    • malfunctions;

    • internet problems;

    • cyber attacks;

    • government measures;

    • pandemics;

    • strikes;

    • failure of payment providers or hosting services.

Article 13. Termination

  1. Loteraise may terminate the agreement immediately in the event of:

    • fraud;

    • abuse;

    • violation of legislation;

    • non-payment.

  2. Upon termination, outstanding payment obligations remain in effect.

Article 14. Amendments

Loteraise may amend these terms and conditions. The most current version will be published on:
www.loteraise.com

Article 15. Applicable Law and Disputes

  1. Dutch law applies to all agreements.

  2. Disputes shall be submitted to the competent court in the Netherlands.
